We’re looking for a skilled and motivated Contracts Management professional to join the CGI legal team to work collaboratively with our internal clients to help the Company achieve its business objectives while minimizing risk and maintaining a positive work environment that aligns with CGI’s values. Your future duties and responsibilities
Provide contracting advice to business development and delivery teams working with IP solutions and engaged with both commercial and state and local government clients (occasional travel required). You will spend your time reviewing, drafting, and negotiating IP based contracts and related subcontracts, teaming agreements, and software licenses. You will also regularly provide contract risk assessments, strategic advice and agreement exceptions / redlines as part of the proposal process.
You will assist internal clients in developing negotiation and risk mitigation strategies as part of proposal preparation, contract execution and eventual contract performance. You will also independently lead contract negotiations and provide value added negotiation support to senior legal counsel as needed for complex transactions.
Your internal clients will also seek to have you interpret various contract provisions and advise on non-disclosure agreements, teaming and partner relationships as well as on issues involving contract compliance and delays.
The successful candidate will be required to have collaborative and regular interaction with applicable members of the business unit leadership team, sales and delivery managers, internal legal counsel as well as other internal core services groups necessary to achieve comprehensive contract review and risk assessment (security, privacy, tax, insurance, etc.).
Required qualifications to be successful in this role
8+ years of IP related contracts experience with increasing responsibility
Solid working knowledge of contracting practices in the IT industry with a focus on legal terms and conditions (e.g., software licensing, intellectual property rights, acceptance, warranties, liabilities, indemnification, remedies etc.)
Ability to shift support between various clients and contracts as required to accommodate dynamic priorities
Ability to creatively work through legal and business issues with a proactive focus on risk management
Negotiation experience and a pragmatic, flexible negotiation style
Strategic and tactical proposal support experience
Strong analytical and communication (oral and written) skills and demonstrated sound, pragmatic judgment in ambiguous situations
Ability to learn quickly, gain credibility and influence internal business clients at all levels
Discernment regarding when to ask questions and to escalate legal matters
Great teammate with a collaborative manner
Knowledge of Microsoft applications (Excel, Word, and PowerPoint)
Minimum Education Required: Bachelor’s Degree
